Ms. Pogodina specializes in international, business, corporate, and intellectual property law. Her emphasis is on international business transactions, corporate formation, financing and governance, and formation and governance of offshore entities, as well as various intellectual property matters. Prior to her career as a California attorney, Ms. Pogodina practiced law in Russian Federation, handling a variety of business matters, including domestic and foreign commercial transactions and real estate. Ms. Pogodina also has business experience and headed a branch in a major real estate agency.

Ms. Pogodina counsels clients, including high technology and foreign companies, on a full range of entity issues, including choice of entity, choice of location (domestic and offshore), liability, international tax working as a team with tax planners and tax attorneys on international taxation projects, asset protection, international business transactions and corporate management issues.

Transactions include contracts for international sales of goods, agency, distributorship, business formation and management, equity financing, employee stock options plans, tax exempt status for non-profit organizations, trademark selection, registration and usage, copyrights and trade secrets, software licensing, non-disclosure, VoIP termination, application service provider agreements, and other business contracts and commercial leases. Ms. Pogodina also conducts corporate and intellectual property legal audits. Ms. Pogodina represents clients in negotiating cross-border transactions, including visiting manufacturing plants and fields. Her experience also includes negotiating transactions with music copyright owners, preparing petitions to the U.S. customs to release seized goods.
